These terms cover this website and the one service Miz Commerce LLC sells. Every engagement is also governed by a signed agreement. Where the two differ, the agreement controls.

  1. 1.Who we are and who you are

    Miz Commerce LLC is a limited liability company formed in the State of New York. We, us and our mean Miz Commerce LLC. You and your mean the business that engages us. The person who signs the agreement confirms they are allowed to bind that business.

    This is a business to business service, sold to people running commercial online stores and brands. It is not a consumer product.

  2. 2.What we sell

    One thing. The Brand Blueprint is a one-time, done-for-you build for an eCommerce brand. We build it in your own accounts over thirty days, then support it for thirty more. It includes the following.

    • Five Klaviyo email flows: welcome, browse abandonment, add to cart abandonment, abandoned checkout and post-purchase, each with three to five emails, plus a sign-up popup and conversion tracking.
    • Google Ads set up and launched: the Google Ads account, Merchant Center, conversion tracking, and a Search, Shopping and Performance Max structure.
    • Meta Ads set up and launched: the pixel and Conversions API, campaign structure, audiences, ad copy and launch.
    • Fifty finished static ad creatives in 4:5 and 9:16, written in your brand and built around your real products.
    • Two offer landing pages built on your store, with conversion tracking.
  3. 3.The agreement

    Every engagement is governed by a signed Master Services Agreement and a Statement of Work. Together they are the agreement. They name the fee, the accounts we need, the deliverables and the dates. These terms describe the same policy in plain words. Where these terms and the agreement differ, the agreement controls.

    The agreement and these terms are governed by the law of the State of New York. Any dispute is brought in the state or federal courts sitting in Kings County, New York, and each of us accepts that venue.

  4. 4.Fees and payment

    The fee is the fee stated in the agreement. It is paid through Stripe, on Stripe's pages, after the agreement is signed. The amount you agree to is the price shown on the Stripe payment page at the moment you pay. Card details are entered on Stripe's pages and are never seen or stored by us.

    You can pay the whole fee at once, or in two instalments. If you choose split pay, Stripe takes the second instalment thirty days after the first. Both instalments are part of the one fee, and both remain due.

    The fee excludes any sales tax or other tax that applies to you. Where we are required to collect a tax, it is added on the Stripe payment page.

    Ad spend is never part of the fee. You pay Google and Meta directly, from your own payment method, in your own accounts. We do not hold, advance or pass through advertising budget.

  5. 5.What you need to give us

    We build inside your accounts, so the work cannot start without them. Most delay comes from one of these arriving late. Each day one of them is late adds a day to the completion time.

    • Access, within five business days of signing, to every account named in the agreement. That usually means your store, Klaviyo, Google Ads, Merchant Center and Meta Business Manager.
    • Brand assets you are entitled to use: logo, product photography, fonts and any licensed image.
    • Product information: what you sell, prices, offers, shipping terms, and any claim you want made and can substantiate.
    • Timely feedback. Answers and approvals we ask for, given promptly. Feedback that arrives late moves the schedule by the same amount.
    • Legal responsibility for what you sell and what you claim about it. You confirm the products, the claims and the assets you give us are lawful in the markets you sell to.
  6. 6.Timeline and support

    The build takes thirty days. The thirty days start on the day we have full access to every account named in the agreement, not on the day you sign or pay. Days lost to late access, late assets or late feedback are added to the end.

    During the build you get a written status update every week. We work with you by email and in a shared Slack channel.

    When the build is delivered, a thirty day support period follows. In it we monitor the flows, campaigns and pages, make optimisation changes, and fix anything that does not work as delivered. When the support period ends, the engagement ends. No retainer follows and nothing further is charged.

  7. 7.Cancellation, late payment and chargebacks

    This section states the policy as facts, not as a promise.

    • Cancellation. Once the agreement is signed, it cannot be cancelled by you. The work is bespoke and scheduled for you, and the fee remains due in full, including any instalment not yet taken.
    • Ending by us. We can end the engagement if the acceptable use section is broken, and the fee for work already done remains due. If we end it for our own reasons, or an event outside either side's control makes the work impossible, we return any fee paid for work not yet done.
    • Late payment. If an instalment fails or is not paid when due, work stops until it is paid. Days lost to a late payment are added to the completion time. Nothing is delivered while a payment is outstanding.
    • Chargebacks. Before raising a dispute with your bank or card issuer, raise it with us by email. We have thirty days to resolve it with you. A chargeback raised without that step is a breach of the agreement, and the fee remains due.
  8. 8.Who owns what we deliver

    Once the fee is paid in full, you own the deliverables: the email flows and popup, the campaign structures built in your accounts, the fifty ad creatives, the two landing pages, and the copy in all of them. You can use them anywhere, for as long as you like, without paying us again. Ownership passes when the fee is paid in full.

    We keep ownership of what is not yours: our methods, templates, prompts, workflows and internal tools. Stock or licensed assets inside a delivery stay under the licence they came with, and we tell you when one applies.

    We may show the deliverables in our portfolio and name you as a client. We do not publish your performance figures without your written consent. If you would rather not appear at all, tell us by email and we take you out.

  9. 9.How we use AI

    We use artificial intelligence tools in production, including to write copy, design creatives and generate images. This is not hidden. Every piece of output is reviewed by a person before it reaches you.

    You own the delivered work the same way whether a tool was involved or not. You are responsible for confirming that the claims in a finished email, advertisement or page are true of your product before you run it.

  10. 10.Acceptable use

    There are things we will not build, and using our service or this site for them ends the engagement immediately. The fee for work already done remains due.

    • Anything unlawful in the market it will run in, or anything that breaks the advertising or email policies of the platform it will run on.
    • Claims you cannot substantiate, false scarcity, fake reviews, and fabricated endorsements.
    • Adult content, weapons, illegal substances, and financial or medical claims that require a licence you do not hold.
    • Infringing someone else's trademark, copyright or likeness, including giving us assets you do not have the right to use.
    • Attempting to disrupt, scrape at scale, or gain unauthorised access to this site.
  11. 11.Results

    We build the system. We do not promise what it will earn. Sales depend on your product, your prices, your margins, your store and the auctions you compete in, most of which is outside our control. Nothing on this site, on a call, or in a conversation with us is a commitment to any revenue figure, return on advertising spend, cost per acquisition, open rate or conversion rate. Any result described anywhere on this site is a record of what happened for a particular business at a particular time, not a projection for yours.

  12. 12.Limits of our liability

    We provide the service with reasonable skill and care. Beyond that, and to the fullest extent the law allows, everything is provided as it is, without further warranty.

    We are not liable for lost profits, lost revenue, lost data, lost opportunity, or any indirect or consequential loss. We are not liable for the acts of an advertising or email platform, including account restrictions, suspensions, policy decisions, outages, or changes to how a platform works or measures results.

    Where we are liable, our total liability for all claims connected to the service is limited to the fee you have paid us under the agreement.

    Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

  13. 13.Confidentiality

    Each of us will keep the other's non public information private and use it only to perform the agreement. This covers your account access, your sales figures and your customer data on our side, and our methods and pricing on yours. It does not cover information that is already public, that either of us knew before, or that the law requires us to disclose.

  14. 14.Changes to these terms

    We update these terms when the service changes. The version that applies to your engagement is the version published on the day you sign the agreement. This version is dated 7 September 2026.
